Incorporation gives a garage two things a sole proprietorship cannot: a wall between the shop's risks and your personal assets, and a roughly 12.2% rate on retained profit that funds the next bay. The catch is operational, because the lease, the MVIS licence, the HST account and the jobber terms do not follow you into a corporation on their own. We sequence the move so the shop never misses a day of billing.

What the corporation actually protects

A garage holds other people's vehicles, sends techs on road tests and works under hoisted cars, so the first line of defence is a proper garage insurance policy, not a corporate seal. What incorporation adds is the second line: when the shop operates as a corporation, the lease tail, supplier balances and any claim beyond policy limits stop short of the owner's house and savings. That wall only holds where you have not signed it away, and landlords and equipment lenders will ask for personal guarantees, so part of the job is keeping those narrow and dated.

The tax case runs alongside. Profit retained in the corporation is taxed at roughly 12.2% on the first $500,000 in Ontario, against personal rates that can run four times that at the top, which turns retained earnings into the fund that buys the next hoist or the next bay. And if the shop is ever sold as shares of a qualifying small business corporation, up to $1.25 million of gain per shareholder can be sheltered by the lifetime capital gains exemption, an exit a sole proprietorship simply does not have.

A repair shop is licensed, leased and account-bound, so the switch to a corporation is a sequencing project, not a signature. We plan the change date around the pieces below so nothing stops mid-week.

Moving the assets in without a tax bill

The hoists, tools, parts stock and goodwill do not have to be sold to the corporation at a gain. A section 85 rollover transfers them at elected amounts that defer the tax, papered with its own CRA election form and a price adjustment clause. On the HST side, a joint section 167 election on form GST44 lets the corporation take over substantially all the assets of the business with no HST on the transfer; without it, the new company pays 13% to its own predecessor and waits a filing period to recover it, a cash hole with no purpose. The corporation should also register for HST from day one, because a going concern is past the $30,000 small-supplier threshold before its first month closes.

Timing matters here too. We usually put the switch at the start of an HST period and a payroll month, so the final sole-proprietor return covers a clean stretch and the T4 split lands on a tidy date. Rushed incorporations that straddle a quarter create reconciliation work that outlives the savings.

Family shares are a day-one decision

Share structure is cheap to design at incorporation and expensive to fix later. Dividends to family members get taxed at top rates under TOSI unless an exclusion applies, and a garage has two realistic ones. A spouse who genuinely works in the business an average of 20 hours a week, on the counter, the books or the phones, can fit the excluded business rule. And excluded shares, which require 10% of votes and value, also require that less than 90% of the corporation's business income come from services; a shop with a real parts and tire counter can land on the right side of that line, which most service businesses cannot, so it is worth testing against your actual sales mix.

Will incorporating protect me if a repair goes wrong?

Your garage policy responds first; incorporation is the second line, keeping business debts and claims beyond coverage away from personal assets. Personal guarantees you sign on the lease or an equipment loan still bind you personally, so we keep them as narrow as the deal allows.

Does my HST number move to the new corporation?

No. The corporation registers for its own number and your sole-proprietor account closes with a final return, while the GST44 election keeps HST off the transfer of the business assets themselves.

Can my spouse hold shares in the shop?

Yes, and it can be worth real money, but TOSI decides whether their dividends are taxed sensibly. A spouse working about 20 hours a week in the business, or holding 10% excluded shares, which a parts-selling shop can often support, are the two realistic routes, and both are easiest to build in on day one.
